2. Purpose and use of the website
The website is the online extension of our physical showroom. It provides information about bespoke kitchens, interior solutions, design guidance, delivery, installation and aftercare. You cannot place an order or make a payment directly through the website. An appointment, contact or information request therefore does not in itself constitute a binding order or agreement.
Azul & Oak may change the website, its structure and its content. This does not affect agreements that have already been entered into or information and commitments that, by law, form part of a consumer agreement.
We ask users to use the website carefully and lawfully.
3. Intellectual property
The website, logo, brand name, texts, photographs, videos, renders, plans, drawings, layout and other content are protected by intellectual and industrial property rights belonging to Azul & Oak, our suppliers or other rights holders.
Without prior written permission, this content may not be copied, altered, published, used commercially or made available to third parties. Normal personal use of the website is, of course, permitted.
4. Availability, accuracy and external links
Azul & Oak makes every reasonable effort to keep the information on the website up to date and accurate and to keep the website readily accessible. However, we cannot guarantee uninterrupted or completely error-free access.
Azul & Oak is not liable for temporary technical disruptions outside its reasonable control, to the extent that such a limitation is permitted by law.
Links to third-party websites are provided solely as an additional service. Azul & Oak has no control over the content or availability of those websites and is not responsible for them, unless the law provides otherwise.
5. Privacy and cookies
Details of how Azul & Oak processes personal data are set out in our Privacy Policy. Information about cookies and similar technologies can be found in the Cookie Policy and in the cookie banner settings.
PART II – GENERAL TERMS AND CONDITIONS
1. Scope
These general terms and conditions apply to every offer, quotation and agreement for products and/or services supplied by Azul & Oak to a consumer or professional customer, unless we agree otherwise in writing.
A 'consumer' means a natural person acting mainly for private purposes. A 'professional customer' acts in the course of a profession, business or other professional activity.
For consumers, mandatory consumer rights always prevail if any provision of these terms conflicts with them.
Terms and conditions of a professional customer apply only if Azul & Oak has expressly accepted them in writing in advance.
2. Quotations
A quotation remains valid for the period stated in it. If no period is stated, the quotation is valid for 30 calendar days. Obvious writing, calculation or technical errors may be corrected, provided Azul & Oak informs the customer without unreasonable delay.
Unless the quotation states otherwise, the agreement is concluded once the customer accepts the quotation in the showroom, at the customer’s home or by e-mail/digital signature, Azul & Oak confirms that acceptance in writing or digitally, and the 10% deposit has been received.
The agreement consists of the accepted quotation, the approved plans and technical specifications, any changes approved in writing and, where applicable, the installation and handover documents.
Azul & Oak may decline an assignment as long as no agreement has yet been concluded, for example for commercial, technical or safety reasons or in order to comply with legal obligations. Statutory equal-treatment rules always remain applicable.
3. Design, materials and scope of the project
The quotation clearly states which products and services are and are not included. Work such as electrical work, plumbing, tiling, construction work, painting or a complete renovation forms part of the project only if it is expressly stated in the quotation.
3D renders and visualisations are intended to present the design as clearly as possible. Colours, grain, textures and lighting may look different on a screen than they do in reality. Approved physical samples and technical specifications therefore take precedence over a digital representation.
The customer provides accurate information in good time about the property, measurements, pipes, connections, load-bearing elements, access and any other relevant circumstances. If anything changes in the space after the final measurements have been taken, the customer must inform Azul & Oak in writing as soon as possible.
Azul & Oak is the seller and the central point of contact for the kitchen, worktops, appliances, transport and installation invoiced by Azul & Oak. Azul & Oak remains responsible for work carried out by it or by suppliers or subcontractors acting under its responsibility.
4. Prices, taxes and changes
The quotation states the total price of the agreed kitchen, worktops, appliances, transport, installation and any additional services. For consumers, the total price is stated including the applicable IVA (Spanish VAT) and other mandatory charges. Anything not included is clearly identified.
If the customer requests changes or additional work after the quotation, or circumstances arise that could not reasonably have been foreseen in advance, Azul & Oak will first explain in writing what this means for the price and schedule. Work will start only after the customer has approved it, except where an immediate measure is necessary for safety reasons.
A price may be increased only for an objective reason communicated to the customer in advance and to the extent permitted by law. If a change materially alters the price or nature of the project, the consumer retains the statutory rights to reject that change or terminate the affected performance.
5. Invoicing and payment
Unless the quotation expressly states a different payment schedule, the following instalments apply:
• 10% deposit when the agreement is concluded. This amount is deducted from the total price and allows the further design and technical preparation to begin.
• 50% before the order is placed with the manufacturer. This instalment becomes due only after the customer has approved the final plans, materials, technical specifications and price in writing.
• 30% before the scheduled delivery and transport to the project location.
• 10% after installation and joint handover, payable on the due date of the final invoice. Any minor handover items are recorded in the handover document and followed up as agreed.
“Release for production” means the point at which Azul & Oak, after the customer’s final written approval and receipt of a total of 60% of the contract price, sends the final and binding bespoke order to the supplier. Azul & Oak confirms this point in writing to the customer.
Invoices and payment requests may be sent electronically. For each payment instalment, the customer receives the amount, due date and payment reference.
If a consumer does not pay on time, Azul & Oak first sends a written reminder giving a reasonable additional period for payment. Statutory interest and reasonable, evidenced recovery costs may then be charged, to the extent permitted by law.
For professional customers, late-payment interest and compensation for recovery costs are governed by Ley 3/2004, unless another legally valid arrangement has been agreed in writing.
If the customer has an objection to an invoice, we ask that it be reported in writing as soon as possible. A consumer does not lose statutory rights merely because an objection was not made within a short contractual period.
6. Planning, delivery and risk
The quotation may include an indicative timeframe for production, delivery and installation. This indication is based on the information available at that time.
A specific schedule for production, delivery and installation can be confirmed only once the agreement is final, the technical plans and materials have been approved in writing, a total of 60% of the contract price has been received, the order has been placed with the manufacturer and the manufacturer has confirmed its production or delivery schedule. Azul & Oak then communicates the specific schedule to the customer in writing.
If Azul & Oak or a supplier engaged by it expects a delay, the customer will be informed as soon as possible of the reason and, once known, of the revised schedule.
The customer, whether a consumer or professional customer, must also ensure that the agreed schedule can be followed on time. This includes, for example, choices and approvals, payments, access to the location and necessary preparatory work. If this causes a delay, the customer must report it as soon as possible. Azul & Oak may adjust the schedule in proportion to the actual impact of that delay. Reasonable and evidenced additional costs arising directly from a delay attributable to the customer may be explained in advance and charged to the extent permitted by law.
If delivery or performance does not take place on time, a consumer may exercise the statutory rights available. This may include first allowing a reasonable additional period and, if the legal requirements are met, subsequently terminating the agreement with repayment of the amounts due. If an expressly agreed date is essential, the statutory rules on immediate termination apply.
For consumers, the risk of loss or damage passes when the consumer, or a person designated by the consumer for that purpose, physically receives the goods. This does not apply if the consumer independently chooses a carrier that was not offered by Azul & Oak.
7. Preparation of the location and installation
The customer must ensure that the project location is accessible, empty, safe and technically ready for installation on the agreed date. Necessary work to electricity, water, drainage, ventilation, walls, floors and structure must have been carried out in accordance with the technical plans, unless it expressly forms part of Azul & Oak’s scope.
If installation cannot proceed because of a circumstance for which the customer is responsible, Azul & Oak may charge reasonable and evidenced additional costs after explaining them in advance and may propose a new schedule.
After installation, Azul & Oak and the customer review the result together where possible. Visible handover items are recorded in writing. The fact that an item was not recorded at that time does not affect statutory rights relating to hidden defects or defects identified later.
Minor handover items that do not prevent normal use are not in themselves a reason to refuse the entire handover or withhold a disproportionate part of the price. The consumer’s statutory rights remain fully applicable.
8. Changes, cancellation and right of withdrawal
Changes or cancellations after the agreement has been concluded are always dealt with in writing.
Azul & Oak contractually allows the customer to cancel the agreement as long as the order has not yet been released for production in writing. Any instalments already received will then be refunded.
After written release for production, the bespoke order can in principle no longer be cancelled free of charge. In the event of cancellation, Azul & Oak may charge reasonable, evidenced and non-recoverable costs and losses arising directly from the cancellation. Amounts already paid will be set off against these sums.
There is no statutory right of withdrawal for goods made specifically to the consumer’s individual wishes and specifications or which are clearly personalised, pursuant to Article 103(c) of Real Decreto Legislativo 1/2007. This applies in particular to bespoke kitchens and bespoke interior elements manufactured on the basis of individually approved measurements, layout, materials, colours and technical choices.
9. Conformity, statutory guarantee and aftercare
Consumers are protected by the statutory rules on conformity. This means that Azul & Oak, as seller, is responsible where supplied goods do not meet what may legally and contractually be expected and the lack of conformity becomes apparent within three years after delivery, provided the statutory conditions are met. This also applies to household and kitchen appliances supplied by Azul & Oak.
Incorrect installation or connection is also treated as a lack of conformity when installation forms part of the agreement and is carried out by Azul & Oak or under its responsibility. If a malfunction is directly caused by an installation or connection error for which Azul & Oak is responsible, the necessary remedial work will be carried out free of charge in accordance with the consumer’s statutory rights.
Depending on the circumstances, a consumer may by law request repair or replacement free of charge. If those remedies are not possible or appropriate, a price reduction or termination of the agreement may be available under the statutory conditions. The remedy will be provided within a reasonable time and without serious inconvenience to the consumer.
For technical malfunctions or defects in appliances, Azul & Oak may engage the manufacturer’s official technical service. In some cases, the customer may be asked to cooperate directly with an in-home service visit. That cooperation must be reasonable. Using the manufacturer’s technical service does not alter Azul & Oak’s statutory responsibility as seller.
A manufacturer’s warranty or other commercial guarantee is additional to the consumer’s statutory rights and does not limit those rights.
Damage or malfunctions shown to have been caused exclusively by, for example, limescale, incorrect use, insufficient maintenance, unauthorised modifications, work by third parties outside Azul & Oak’s responsibility or external power surges do not fall within the statutory conformity responsibility, insofar as Azul & Oak is not legally responsible for the underlying defect. Normal wear and natural variations in materials are likewise not automatically a lack of conformity in themselves.
10. Complaints and dispute resolution
A complaint may be sent to info@azulandoak.es or by post to C/ Pascual Guerrero Culiañez, 32, bajo, puerta 1D, 03158 Catral (Alicante), Spain. Please preferably include the project or invoice number and, where relevant, photographs or other documents.
The official hojas de reclamaciones of the Comunitat Valenciana are available in the showroom, as required by law.
Azul & Oak always tries to resolve a complaint directly and in constructive consultation first. If Azul & Oak is a member of, or is legally required to participate in, a recognised alternative dispute resolution body, the consumer will be informed in accordance with the applicable rules.
11. Liability
Azul & Oak’s liability is governed by applicable law. Liability cannot be excluded or limited for death or personal injury, wilful misconduct, gross negligence, mandatory conformity and guarantee rights, or other situations in which the law does not allow a limitation.
Azul & Oak is not responsible for damage arising solely from incorrect or incomplete information provided by the customer, preparatory work by third parties that does not meet the requirements, or use contrary to clear instructions. This applies only insofar as Azul & Oak has properly complied with its own duties to inform, check and warn.
For professional customers, liability for foreseeable direct financial loss may, to the extent permitted by law and unless otherwise agreed in writing, be limited to the net contract value of the relevant assignment. This limitation does not apply in cases of wilful misconduct, gross negligence, personal injury or other liability that cannot legally be limited.
12. Force majeure
Force majeure means an unforeseen and unavoidable event beyond the reasonable control of the affected party that makes performance temporarily or permanently impossible. Examples include serious natural disasters, war, government measures, general transport blockades, fire or major failures of essential infrastructure.
A delay by a supplier or subcontractor qualifies as force majeure only if that delay is itself caused by such an event and no suitable alternative is reasonably available.
The party affected by force majeure informs the other party as soon as possible, seeks to limit the consequences and resumes performance as soon as reasonably possible.
If the force majeure continues for a longer period, the parties will consult about an adjusted performance. If the agreement thereby loses its purpose or performance within a reasonable period is no longer possible, either party may terminate the affected performance in accordance with applicable law. Amounts paid for performance not yet carried out will be refunded. Work already performed and bespoke items actually manufactured will be settled reasonably and transparently, to the extent permitted by law.
13. Suspension and termination for breach
If either party fails to comply with an important contractual obligation, the other party may first give a reasonable period in writing to remedy the breach. If the breach is not remedied, the agreement may be suspended or terminated in whole or in part in accordance with the law.
Immediate termination may be possible where remedy is objectively no longer possible, the breach is particularly serious or insolvency proceedings genuinely threaten performance, to the extent permitted by law.
On termination, work already performed, payments received and non-recoverable bespoke items will be settled clearly and transparently. Any balance will be refunded or paid. Consumers’ statutory rights remain unaffected.
14. Project documents and use of designs
Plans, renders, technical drawings and designs remain the intellectual property of Azul & Oak or its licensors, unless otherwise agreed in writing.
After full payment, the customer may use the approved documents personally for the agreed project. Without permission, designs may not be passed to a third party for production or commercial exploitation, unless the law provides otherwise.
15. Project photography and use for communication and marketing
During design, delivery, installation, handover and aftercare, Azul & Oak may take photographs or videos where reasonably necessary for technical documentation, quality control, project follow-up, handover or service and guarantee matters. This internal visual material is not automatically used for public marketing.
If Azul & Oak wishes to publish or commercially use photographs or videos of a property, an ongoing project or a completed project, separate and voluntary permission will be requested in advance where the images contain personal data or the customer, residents or property are reasonably identifiable. This permission is never a condition for entering into or performing the agreement. Refusing permission has no adverse effect on the project.
The separate consent states the channels for which the visual material may be used, for example the website, social media, newsletter, presentations, portfolio or print. It also states whether a name, location or persons may be shown. Without additional consent, Azul & Oak will not publish an exact address or other unnecessary identifying details.
Where the permission is based on consent to the processing of personal data, the customer may withdraw that consent for future use at any time via info@azulandoak.es. Earlier use based on valid consent remains lawful. After withdrawal, Azul & Oak will stop new online or other marketing use to the extent reasonably within its control.
If other persons are recognisable in the images, their required consent or another valid legal basis will also be respected. Consent for marketing use is recorded in a separate form, independently of the general acceptance of the agreement.
16. Personal data
Personal data are processed in accordance with our Privacy Policy. These general terms and conditions do not replace the Privacy Policy or Cookie Policy.
17. Applicable law and competent court
The agreement is governed by Spanish law. This does not affect any mandatory protection a consumer may enjoy under applicable European or national rules.
A consumer may bring a dispute before the court that has jurisdiction under the mandatory rules on jurisdiction. These terms therefore do not require consumers to use exclusively a court that would restrict their statutory rights.
For agreements with professional customers, the courts of the judicial district of Orihuela have jurisdiction to the extent that such a choice of forum is legally valid. Azul & Oak retains the right to bring a claim before another court that has jurisdiction under the law.
